We will take reasonable care to ensure the security of and prevent unauthorised access to our electronic banking services and any software or hardware that we supply to you. In exceptional circumstances, we may at any time suspend the operation of particular electronic banking services, but we will promptly notify you of any such suspension. We cannot guarantee that the electronic banking services will be available at all times or that issues with connectivity or the general functionality of the internet will not at times interfere with the transmission of data.
To the extent the online and electronic banking services require equipment (including hardware and security devices) to be operated by you, the provision of those services by us shall be conditional on your proper use and maintenance of such equipment. You agree to:
- ensure that your computer, modem or any other device you use is safe, efficient and complies with the standards and requirements we tell you from time to time;
- carry out your own regular virus checks and utilize firewall protection as well as take all actions necessary and otherwise reasonable to remove any computer viruses, worms, Trojan Horses, keylogger software or other malicious code from any computer equipment or hosted services from which you access the online electronic banking services and refrain from uploading any such malicious code to our system;
- make your own contingency arrangements to cover system or operational failures or suspension;
- follow the procedures and instructions in any user guidance that we give you from time to time in relation to a particular service, including using any authentication device we give you where required; and
- advise us as soon as possible if you become aware of any failure, delay, malfunction, virus or error in the sending or receiving of instructions or any suspected fraud, and assist us in any remedial steps we propose.
You agree that any electronic banking service provided by us in connection with your accounts will not be used by you in a country if, by using that service in such country, you, we or any external payment system we may use in providing the service could potentially be in violation of that country’s law. The software, security-related devices or Payment Instruments used with the service may be subject to copyright and contain security features such as cryptographic routines that may be subject to import and export regulations and usage restrictions in some countries. You agree that you will not retransfer to other parties or re-export to other countries such software or devices, in particular those incorporating encryption capabilities, without first satisfying any applicable governmental registration, notification, or prior authorization requirements, if any, that may apply to such retransfer or re-export of such items. You further agree that you have the right to provide us with any personally identifiable information or other data that you transmit to us through the online electronic banking services and that such information is not subject to restrictions on storage or transmission by any jurisdiction in which such information might need to be provided in order to perform the online electronic banking services.
Unless we tell you otherwise, any software, hardware or devices we provide to you in connection with an electronic product or service is licensed to you. If we supply hardware to you, we (or our licensors or suppliers, as the case may be) shall remain the owner of such equipment and you agree to insure it and not to remove or modify any name or other identifying mark on the hardware. The copyright and all other rights in the software or devices and in any user guides, manuals, documentation or other information that we provide (collectively, “user guides”) remain owned by us or by the person who licenses them to us (if applicable). You must use any software, hardware or devices that we provide to you exclusively in connection with these terms and as described in any user guide. You will obtain no rights, title or interest in any software, hardware, devices or user guides or intellectual property rights relating to them.
We shall be entitled to access the software and devices during normal business hours and, in the event of any suspension or termination of the service(s), to remove the software, devices or other materials we have supplied from your premises.
You agree to keep confidential any software and any user guides relating to the operation of our services. You agree that without our prior written consent, you will not, or allow any third party to, do the following:
- change (including by modifying, de-compiling or reverse engineering) copy, use or distribute any software or other material provided by us or our agents, or attempt to do any of the foregoing; or
- extract or modify in any way any data held in any device or hardware provided by us or our agents, or attempt to do so.
You must indemnify, defend and hold the Barclays Group harmless from and against any Losses arising directly or indirectly from any:
- breach of a third party’s intellectual property rights by you; or
- modification of any software by you, unless we allow you to make those modifications or you have obtained prior consent from us or the licensor of the software; or
- breach by you of the provisions of these conditions.
The records we maintain of any online messages, instructions, payments or other transactions will be final evidence of those messages, instructions, payments or other transactions and of the time they are given or carried out, except in instances of obvious mistake.
You agree and hereby acknowledge that by using any of the electronic banking services we provide, any electronic signature or assent given by electronically “clicking” any graphic button or link on our electronic interface is a valid and enforceable agreement by you to any terms or conditions associations by such electronic signatures or assents.
You agree and hereby acknowledge that you are responsible for determining whether the electronic banking services are legal, and proper under all applicable regulations for any transactions that you may consummate under such services.
With respect to any hardware, software, or data processing or storage services we provide in the course of providing the electronic banking services, we hereby disclaim any implied warranty of merchantability, fitness for a particular purpose, non-infringement, freedom from viruses and other malicious software, title, interoperability, non-infringement, or those arising from a course of dealing, usage, or trade practice.
Invalidity & Severability
If any provision of these terms is or becomes for any reason whatsoever invalid, illegal or unenforceable, it shall be divisible from these terms and shall be deemed to be deleted from them and the validity of the remaining provisions shall not be affected in any way.
Governing Law
English law governs these terms and conditions and you agree that the English Courts shall have exclusive jurisdiction to determine any matter or dispute in connection with or arising out of this Site and these terms and conditions.
